These Terms of Use ("Terms") govern access to and use of the Clipform website, applications, APIs, and related services (collectively, the "Service"). "Clipform," "we," "us," and "our" refer to the operator of the Service. By creating an account, submitting information through the Service, or otherwise accessing or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old to create an account or independently use the Service. If you are under the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian.

Children under 13 may not independently create an account or directly submit personal information through the Service. A parent, guardian, teacher, coach, or other authorized organizer may use the Service in connection with minors when that person has appropriate authority to do so.

Some parts of the Service may be used without an account. These Terms apply to account holders, organizers, collaborators, participants, guests, and anyone else who accesses or uses the Service.

You agree to provide accurate account information and keep it reasonably current. You are responsible for safeguarding your credentials and for activity conducted through your account. Notify Clipform promptly if you believe your account or credentials have been compromised. We may require verification or additional security measures before enabling certain features or restoring access.

2. The Service

Clipform provides tools for creating, organizing, sharing, and participating in digital sign-up sheets and related activities. Available features, plan limits, and eligibility requirements may vary.

We may add, change, suspend, or discontinue features to maintain, secure, or improve the Service; respond to legal or operational requirements; or adapt the Service as the business develops. When reasonably practicable, we will provide advance notice of a material change that significantly reduces a paid feature.

The Service may include beta, preview, or experimental features. Those features may change, be unavailable, or be removed without notice and may not operate as reliably as generally available features.

3. Plans, subscriptions, and payments

Clipform may offer free, paid, promotional, or organization-sponsored plans. The features and limits included with each plan are described in the Service at the time they are offered.

If you purchase a paid subscription:

  • the price, billing frequency, renewal terms, and material plan limits will be disclosed before purchase;
  • the subscription renews automatically until canceled, unless the offer states otherwise;
  • charges are made in advance for each billing period using the payment method associated with the subscription;
  • you may cancel using the cancellation method made available through the Service, and cancellation ordinarily takes effect at the end of the current billing period; and
  • except where required by law or expressly stated otherwise, payments are non-refundable and we do not provide refunds or credits for partial billing periods.

You authorize Clipform and its payment providers to charge the applicable fees and taxes according to the subscription terms presented to you. Payment providers process payment information under their own terms and privacy practices.

If a payment fails or remains unpaid, we may retry the charge, limit paid features, or suspend the subscription after any disclosed grace period. A later successful payment may restore access for the applicable billing period but does not necessarily restart or extend that period.

If you believe a charge is incorrect, you may contact Clipform for assistance. Nothing in these Terms limits a right to dispute a charge that cannot lawfully be limited. Knowingly abusing a payment dispute or chargeback process may be treated as a violation of these Terms.

Promotional access, coupons, and complimentary plan grants may have separate eligibility rules and expiration dates. Unless expressly stated otherwise, they have no cash value, may not be transferred, and may be modified or revoked in cases of error, misuse, ineligibility, or fraud.

We may change future prices, plan features, or plan limits. Price changes for an existing paid subscription will be communicated as required by applicable law and will apply no earlier than the next permitted renewal or billing period.

4. Clipform's role

Clipform provides organizing and participation tools. Clipform does not create, operate, supervise, endorse, or guarantee activities organized by users and is not a party to arrangements between organizers, collaborators, participants, or other third parties.

Organizers are responsible for their activities, communications, instructions, eligibility decisions, and use of information obtained through the Service. Participants are responsible for deciding whether to participate and for the information they provide.

Clipform does not verify every user, organizer, activity, statement, item, location, or participant. You are responsible for using reasonable judgment and taking appropriate precautions in your interactions with others. Features that assist with capacity, scheduling, reminders, access, attendance, or check-in do not guarantee availability, admission, performance, safety, or attendance.

5. User content and permission to operate the Service

You retain the rights you hold in content you provide to the Service. You are responsible for ensuring that you have the rights, permissions, and authority needed to provide and use that content.

You grant Clipform a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and technically modify your content only as reasonably necessary to:

  • provide, maintain, secure, support, and improve the Service;
  • carry out your instructions and the sharing, collaboration, export, or integration settings you select;
  • prevent misuse, investigate reports, and enforce these Terms; and
  • comply with applicable law and valid legal process.

This license permits Clipform to use vendors that help operate the Service and to transfer the license as part of a merger, acquisition, reorganization, or sale involving the Service. It does not give Clipform the right to use private content for unrelated purposes.

The license ends when the content is deleted from Clipform's active systems, except to the extent the content has been shared with others, must be retained for a legitimate purpose described in the Privacy Policy, or remains in temporary backup or recovery systems.

Clipform does not use private clipform content or participant submissions to train general-purpose artificial-intelligence models.

Content may be visible to other people according to the settings, permissions, and links selected by users. A person who receives a shared link may be able to access the information made available through that link. You are responsible for choosing appropriate settings and recipients.

6. Organizer and collaborator responsibilities

If you create, manage, or collaborate on a clipform, folder, template, or related activity, you agree that you will:

  • collect and use information only when you have an appropriate purpose and legal authority;
  • provide any notices and obtain any permissions required for your activity;
  • use participant information only for purposes reasonably related to the activity or as otherwise authorized by the participant;
  • configure access and visibility settings appropriate for the information and audience involved;
  • take reasonable care when inviting collaborators or sharing access;
  • comply with applicable laws and the policies of organizations with which you are affiliated; and
  • respond appropriately to participant questions, corrections, and requests relating to your activity.

You may not use the Service to request or store passwords, complete payment-card details, government identification numbers, financial account credentials, or other information for which Clipform is not designed. You should not request highly sensitive information unless it is genuinely necessary, lawful, and appropriate for the Service.

Organizers are responsible for content they publish and for actions taken by collaborators to whom they grant access.

7. Acceptable use

You may not use the Service to:

  • violate applicable law or facilitate unlawful activity;
  • threaten, harass, defraud, impersonate, exploit, or harm another person;
  • create, post, request, or share content that is unlawful, deceptive, defamatory, obscene, hateful, abusive, or exploitative;
  • infringe or violate intellectual-property, privacy, publicity, contractual, or other rights;
  • collect, sell, or use contact information for spam, unrelated marketing, phishing, or other unauthorized communications;
  • distribute malware or interfere with the availability, integrity, or security of the Service;
  • access or attempt to access accounts, content, systems, or data without authorization;
  • probe, scan, test, or circumvent security controls without Clipform's prior written authorization;
  • evade plan limits, access controls, rate limits, enforcement measures, or technical restrictions;
  • use automated means to access the Service except through interfaces and integrations Clipform makes available for that purpose and in accordance with applicable limits; or
  • resell, sublicense, or represent the Service as your own service without written permission from Clipform.

8. Clipform intellectual property

The Service, including its software, design, branding, and content supplied by Clipform, is owned by Clipform or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, Clipform grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes. This right does not permit you to copy, sell, license, reverse engineer, circumvent, or create derivative works from protected parts of the Service except where applicable law expressly permits doing so.

Templates or other materials supplied by Clipform may be used and customized through the functionality made available by the Service. No ownership of Clipform branding, software, or underlying template library is transferred to you.

9. Copyright complaints

Clipform respects intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to [email protected] identifying the copyrighted work, the material at issue, where it appears, your contact information, and the basis for your claim.

Clipform may remove or restrict access to content in response to a sufficiently supported complaint and may notify the affected user. Where appropriate, Clipform may terminate accounts of users who repeatedly infringe the rights of others.

10. Third-party services

The Service may interoperate with or link to third-party websites, applications, payment services, communication tools, exports, or integrations. Third-party services are controlled by their respective providers and may be governed by separate terms and privacy policies.

Clipform is not responsible for third-party services, content, availability, security, or data practices. Your decision to connect, visit, or use a third-party service is at your own risk.

11. Enforcement, suspension, and termination

We may investigate reports and take proportionate action when we reasonably believe content, conduct, an account, or use of the Service:

  • violates these Terms or applicable law;
  • harms or creates a meaningful risk to Clipform, users, or third parties;
  • threatens the security, integrity, or availability of the Service;
  • exposes Clipform to potential legal liability; or
  • requires action to comply with a legal obligation or valid request.

Actions may include warning a user, limiting a feature, removing or restricting content, revoking access credentials or integrations, suspending an account, or terminating access. We may act without advance notice when immediate action is reasonably necessary, but we will provide notice when practical and legally permitted.

We are not required to monitor all content or activity. We may preserve or disclose information when reasonably necessary to investigate misuse, respond to reports, protect people or the Service, enforce these Terms, or comply with law, consistent with the Privacy Policy.

If you believe enforcement action was taken in error, you may contact [email protected]. We do not guarantee that access or content will be restored.

You may stop using the Service at any time. Account closure, termination, or subscription cancellation does not automatically undo information already shared with or exported by other users.

12. Content availability and retention

Features for archiving, deleting, restoring, or exporting content may be subject to plan limits and technical availability. You are responsible for maintaining copies of content you need.

Clipform may delete content or accounts after termination, prolonged inactivity, or discontinuation of the Service. We may retain information when reasonably necessary for security, recovery, fraud prevention, dispute resolution, business records, enforcement, or legal compliance, as described in the Privacy Policy.

We do not guarantee that deleted content can be recovered or that content will be stored indefinitely.

13. Feedback

If you voluntarily provide ideas, suggestions, or other feedback about the Service, you grant Clipform permission to use that feedback without restriction or compensation. This does not give Clipform ownership of your clipforms, submissions, or other user content.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Clipform disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not guarantee that the Service will always be available, uninterrupted, secure, accurate, or error-free, or that content will not be lost or altered. We do not guarantee the identity, authority, conduct, statements, activities, or performance of any user or third party.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

15. Limit on liability

To the maximum extent permitted by law, Clipform's total liability for all claims arising from or relating to the Service or these Terms will not exceed fifty U.S. dollars (US $50). This limitation does not apply to liability that cannot legally be limited.

16. Responsibility for third-party claims

To the extent permitted by law, if you organize an activity or use the Service for a business or organization, you agree to reimburse Clipform for reasonable losses and legal expenses resulting from a third-party claim caused by:

  • your activity or user content;
  • your collection or use of participant information; or
  • your violation of these Terms or applicable law.

This does not apply to the extent a claim was caused by Clipform's negligence, intentional misconduct, or violation of law. Clipform will provide reasonable notice of a claim and will not settle a claim requiring payment from you without your consent, which may not be unreasonably withheld.

17. Changes to these Terms

We may update these Terms as the Service or applicable requirements change. The updated Terms will be posted with a revised date.

When reasonably appropriate, we will provide advance notice of a material change through the Service, by email, or by another reasonable method. Your continued use of the Service after the updated Terms take effect means you accept them. If you do not agree to the updated Terms, you must stop using the Service.

Changes do not apply retroactively unless the change is required by law or the Terms expressly state otherwise.

18. General terms

These Terms and the Privacy Policy form the entire agreement between you and Clipform concerning the Service unless a separate written agreement expressly applies.

If a provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Clipform's failure to enforce a provision is not a waiver.

You may not assign or transfer these Terms without Clipform's written consent. Clipform may assign these Terms as part of a merger, acquisition, reorganization, financing, sale of assets, or transfer of the Service.

Section headings are provided for convenience and do not affect interpretation. Provisions that by their nature should survive termination will survive, including provisions concerning ownership, licenses, payments, enforcement, disclaimers, liability, responsibility for third-party claims, and general terms.
